# Terms of service

These terms take effect immediately for new customers. For customers with an active paid subscription on August 13, 2026, they take effect on September 15, 2026.

These Terms of Service (“Terms”) govern access to and use of the Argos software as a service platform, websites, applications, APIs, and related services made available by Smooth Code SAS (“Argos”, “we”, “us”, or “our”).

Smooth Code SAS is a company incorporated under the laws of France, registered with the Paris Trade and Companies Register under number 830 511 788, with its registered office at 30 Boulevard de Sébastopol, 75004 Paris, France.

By accessing or using Argos, you agree to these Terms.

If you access or use Argos on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “Customer” or “you” refers to that organization.

## 1. Enterprise agreements

Certain customers use Argos under a separately executed Master Services Agreement, Statement of Work, Order Form, or other written agreement with Smooth Code SAS.

Where such an agreement exists, that agreement governs the applicable Services and prevails over these Terms to the extent of any conflict.

## 2. The Service

Argos provides software and related services for visual testing, visual review, and associated development workflows.

Subject to these Terms and payment of any applicable fees, Argos grants Customer a non-exclusive, non-transferable right to access and use the Service for its internal business purposes.

We may modify and improve the Service over time, including by adding, changing, or removing features. Section 27 describes the commitments that apply to those changes.

## 3. Professional use

The Service is offered to businesses, organizations, and professionals for their internal business purposes.

The Service is not offered to consumers acting outside of a professional activity, and Customer represents that it accesses and uses the Service in a professional capacity.

## 4. Accounts

You are responsible for maintaining the security of your account and authentication credentials.

You are responsible for activity performed through your account and for ensuring that users you authorize to access the Service comply with these Terms.

You must promptly notify us if you become aware of unauthorized access to your account.

## 5. Free plans and trials

Argos may offer free plans or trial periods.

Free plans and trials may be subject to usage limits, feature restrictions, or other limitations determined by Argos.

We may modify or discontinue free plans at any time.

Unless otherwise specified when a trial begins, a trial does not create a commitment to purchase a paid subscription.

If a trial requires a payment method and indicates that it will convert to a paid subscription at the end of the trial, the subscription will automatically begin unless canceled before the end of the trial.

## 6. Paid subscriptions

Paid self service subscriptions are billed according to the pricing and billing period displayed when the subscription is purchased.

Unless otherwise stated at the time of purchase, paid self service subscriptions automatically renew at the end of each billing period until canceled. Monthly subscriptions renew monthly, and annual subscriptions renew annually.

You may cancel your subscription at any time through the Service or by contacting Argos.

Cancellation takes effect at the end of the current paid billing period. You will retain access to the paid Service until that date.

Except where required by law, expressly agreed otherwise, or provided under Section 28, payments are non-refundable and no credits or refunds are provided for partially used billing periods.

## 7. Usage and overage fees

Certain plans include usage allowances.

If Customer exceeds the usage included in its plan, additional usage may be billed at the rates displayed on the applicable pricing page or agreed at the time of purchase.

Usage is measured by Argos based on records generated by the Service. Those records are authoritative absent manifest error.

Argos may apply reasonable technical limits to prevent abuse or unusually excessive usage that threatens the operation or security of the Service.

## 8. Fees, taxes, and late payment

Customer agrees to pay all applicable fees associated with its subscription.

Prices are exclusive of taxes unless expressly stated otherwise.

Customer is responsible for applicable sales, use, value added, withholding, or similar taxes, except taxes imposed on the income of Smooth Code SAS.

Any undisputed amount that remains unpaid after its due date accrues interest, without the need for a reminder, at the European Central Bank main refinancing rate in force plus ten percentage points, together with the fixed indemnity for recovery costs of forty (40) euros required by article L441-10 of the French Commercial Code and any reasonable collection costs actually incurred.

If payment cannot be collected when due, Argos may retry payment, restrict access to paid features, suspend the account, or terminate the applicable subscription after reasonable notice.

## 9. Customer Data

“Customer Data” means data, images, screenshots, files, configuration, metadata, or other information submitted by or on behalf of Customer to the Service.

Customer retains all rights, title, and interest in Customer Data.

Customer grants Argos a limited right to host, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, maintain, secure, support, and improve the Service.

Customer is responsible for ensuring that it has the rights and permissions necessary to submit Customer Data to the Service and to permit its processing as described in these Terms.

Argos does not acquire ownership of Customer Data.

## 10. Aggregated and anonymous data

Argos may generate and use statistical, aggregated, or anonymized information derived from use of the Service, provided that such information does not identify Customer or any individual.

Such information may be used to operate, analyze, secure, and improve Argos and to understand usage of the Service.

## 11. Artificial intelligence

Argos will not use Customer Data to train or fine-tune artificial intelligence or machine learning models without Customer's prior consent.

This restriction does not prevent Argos from processing Customer Data as necessary to provide the Service, or from providing optional functionality that Customer expressly initiates or enables. Where such functionality relies on a third-party model provider, Argos will contract for the Customer Data submitted to that provider not to be used to train its models.

## 12. Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall protect the other party's Confidential Information using reasonable care and shall use it only for purposes related to these Terms and the provision or use of the Service.

A receiving party may disclose Confidential Information to its employees, contractors, professional advisers, and service providers who need access to the information and who are subject to appropriate confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate:

- was lawfully known without restriction before disclosure
- becomes publicly available without breach of these Terms
- is received lawfully from a third party without confidentiality obligations
- is independently developed without use of the other party's Confidential Information

A party may disclose Confidential Information where required by law, provided that it gives reasonable notice where legally permitted.

These confidentiality obligations survive termination for five (5) years.

## 13. Data protection and security

Each party shall comply with applicable data protection laws.

Argos implements appropriate technical and organizational measures designed to protect the security, confidentiality, and integrity of Customer Data.

Where Argos processes personal data on behalf of Customer, Customer acts as controller and Argos acts as processor to the extent those concepts apply under applicable data protection law. That processing is governed by the [Argos Data Processing Agreement](/dpa), which is incorporated into these Terms and applies without signature. An executed copy is available on request.

Argos uses third-party service providers and subprocessors to operate the Service. The current list is published in the [Argos privacy policy](/privacy) and in the [Argos trust center](https://app.eu.vanta.com/argos/trust/8z3w834xz9a4snga4obms/subprocessors).

Argos remains responsible for the performance of its subcontracted obligations and requires subprocessors that process Customer Data to be subject to appropriate confidentiality, security, and data protection obligations.

In the event of a personal data breach affecting Customer Data, Argos will notify Customer without undue delay after becoming aware of the breach, and in any event within the period set out in the [Argos Data Processing Agreement](/dpa).

## 14. Data location

Argos hosts the Service primarily on infrastructure operated by Amazon Web Services. Customer Data is stored in the United States and replicated to the European Union. Other providers listed in the Argos privacy policy and trust center may process Customer Data in the course of delivering the Service.

Where applicable law requires safeguards for international transfers of personal data, Argos will use a transfer mechanism recognized under that law.

## 15. Data export and deletion

Customer may access or export Customer Data through functionality made available by the Service.

Following termination of an account or subscription, Argos will make Customer Data available for retrieval for thirty (30) days.

Argos may subsequently delete Customer Data unless retention is required by law or reasonably necessary for legitimate legal, security, backup, or compliance purposes.

Data stored in backups may remain until those backups expire in accordance with Argos's standard backup retention processes.

## 16. Acceptable use

Customer shall not use the Service to:

- violate applicable law
- infringe the intellectual property or other rights of third parties
- distribute malware or malicious code
- attempt to gain unauthorized access to the Service or related systems
- interfere with the security, integrity, or performance of the Service
- circumvent usage limits or security controls
- use the Service in a manner reasonably likely to harm the Service or other customers
- resell or sublicense access to the Service unless expressly authorized by Argos

Customer shall not reverse engineer or attempt to derive the source code of proprietary components of the Service, except to the extent such a restriction is prohibited by applicable law.

Nothing in this section restricts access to or use of software made available by Argos under an open source license, in accordance with that license.

## 17. Beta and preview features

Argos may make features available on a beta, preview, early access, or experimental basis.

Those features are provided as is, are excluded from any availability commitment, warranty, indemnity, or support obligation, and may be changed or discontinued at any time.

Argos will identify a feature as beta or preview where that is the case.

## 18. Suspension

Argos may suspend access to the Service where reasonably necessary because of:

- non-payment of undisputed fees
- misuse of the Service
- a security risk affecting the Service or other customers
- violation of these Terms
- violation of applicable law

Argos will use commercially reasonable efforts to provide prior notice where practicable.

## 19. Argos intellectual property

Argos and its licensors retain all rights, title, and interest in the Service and associated intellectual property.

Except for the limited right to use the Service granted under these Terms, no intellectual property rights are transferred to Customer.

The Argos name, logo, and other Argos trademarks may not be used without Argos's prior written consent. Third-party trademarks appearing in the Service belong to their respective owners, and their use denotes interoperability rather than any affiliation or endorsement.

Open source components remain governed by their applicable open source licenses.

Customer may provide suggestions, ideas, or feedback regarding the Service. Argos may use such feedback without restriction or obligation to Customer.

## 20. Customer name and logo

Unless Customer has notified Argos otherwise in writing, Customer grants Argos permission to identify Customer as a user of Argos and to use Customer's name and logo in customer lists, websites, presentations, and other marketing materials.

Customer may revoke this permission at any time by notifying Argos in writing.

Upon receiving such notice, Argos will stop future use of Customer's name and logo within a reasonable period.

## 21. Support

Argos provides support for paid plans through the support channels made available for the applicable plan.

Unless a specific service level or response time has been expressly agreed in writing, Argos does not guarantee a particular support response or resolution time.

Enterprise support and service levels may be defined in a separate Statement of Work or other written agreement.

## 22. Service levels

Unless a specific availability commitment has been expressly agreed in writing, Argos does not guarantee any particular level of availability.

Argos will use commercially reasonable efforts to maintain the availability and performance of the Service.

Any service credits or other remedies for failure to meet an agreed service level must be expressly provided in the applicable agreement.

## 23. Warranties

Argos warrants that it will provide paid Services with reasonable skill and care, in accordance with generally accepted industry standards. This is an obligation of means and not an obligation of result.

Except as expressly provided in these Terms or another written agreement, the Service is provided “as is” and “as available”.

**To the maximum extent permitted by applicable law, Argos disclaims all other warranties, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.**

## 24. Indemnification

Argos will indemnify Customer against third-party claims alleging that the Service infringes third-party intellectual property rights.

This obligation does not apply to claims arising from:

- modifications not made by Argos
- Customer Data
- use of the Service contrary to these Terms or applicable documentation
- use of the Service in combination with products or services not provided by Argos, where the claim would not otherwise have arisen
- beta or preview features

Customer will indemnify Argos against third-party claims arising from Customer's misuse of the Service, Customer Data, or violation of applicable law.

## 25. Limitation of liability

Neither party shall be liable to the other for indirect, incidental, special, exemplary, or consequential damages, or for loss of profits, revenues, goodwill, or business opportunities arising out of or relating to the Service, to the extent permitted by law.

Argos's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the fees paid by Customer to Argos during the twelve (12) months preceding the event giving rise to the claim.

For a free Service, Argos's total cumulative liability shall not exceed one hundred (100) euros.

These limitations do not apply to Customer's obligation to pay fees due.

Nothing in these Terms limits liability where such a limitation is prohibited by applicable law, including in cases of fraud, willful misconduct, or gross negligence.

## 26. Termination

Customer may stop using the Service at any time.

Cancellation of a paid subscription is governed by Section 6.

Argos may terminate these Terms or Customer's access to the Service if Customer materially breaches these Terms and fails to remedy that breach within thirty (30) days after notice, where the breach can be remedied.

Argos may terminate access immediately where reasonably necessary to prevent fraud, unlawful activity, abuse, or material security risks.

Upon termination, Customer's right to access and use the Service ends, subject to the data retrieval period described in Section 15.

Sections that by their nature should survive termination will continue to apply, including provisions concerning confidentiality, intellectual property, fees owed, disclaimers, indemnification, and limitation of liability.

## 27. Changes to the Service

Argos may change the Service over time as the product evolves.

For paid subscriptions, Argos will not intentionally make a material reduction to the core functionality of the subscribed Service during the current billing period without reasonable cause.

This does not prevent Argos from making changes required for security, legal compliance, technical maintenance, or the protection of the Service or its users.

## 28. Changes to these Terms

Argos may update these Terms from time to time.

Where a change materially affects the rights or obligations of customers with an active paid subscription, Argos will provide at least thirty (30) days' notice before the change takes effect. A customer that does not accept the change may terminate its subscription before the change takes effect and receive a pro rata refund of any prepaid fees covering the remainder of the then-current billing period.

Changes required by law, regulation, security considerations, or to address an immediate risk may take effect sooner.

Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

Changes to these Terms do not override a separately executed written agreement between Customer and Smooth Code SAS.

## 29. Third-party services

The Service may integrate with or rely on third-party products and services, including source code hosting, authentication, and messaging providers that Customer chooses to connect.

Customer's use of third-party products may be subject to separate terms between Customer and the applicable third party.

Argos is not responsible for third-party products that are not controlled by Argos.

This section does not limit Argos's obligations regarding subprocessors performing services on Argos's behalf.

## 30. Notices and communications

Argos may give any notice required under these Terms electronically, including by email to the address associated with Customer's account or by a notice posted in the Service. Customer agrees that such electronic notices satisfy any requirement that a communication be in writing, and that a notice sent by email is deemed received on the day it is sent.

Customer is responsible for keeping the email address associated with its account accurate and monitored.

Customer may give notice to Argos at contact@argos-ci.com.

Argos may send Customer transactional communications reasonably necessary to provide the Service, including account, billing, security, and operational notices.

Marketing communications may be sent in accordance with applicable law and Customer's communication preferences.

## 31. Export control and sanctions

Customer is responsible for complying with all applicable export control, economic sanctions, and import laws and regulations in connection with its use of the Service.

Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, and that it is not a party designated on any applicable restricted party list.

## 32. Independent contractors

The parties are independent contractors.

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, or agency relationship between the parties.

Neither party has authority to bind the other unless expressly authorized in writing.

## 33. Assignment

Customer may not assign these Terms without Argos's prior written consent, except in connection with a merger, reorganization, or sale of substantially all of Customer's assets or business to which these Terms relate.

Argos may assign these Terms in connection with a merger, corporate reorganization, sale of substantially all of its assets, or transfer of the Argos business.

## 34. Force majeure

Neither party shall be liable for delay or failure to perform caused by circumstances beyond its reasonable control.

This section does not excuse Customer's obligation to pay fees already due.

## 35. Governing law and jurisdiction

These Terms are governed by the laws of France, without regard to conflict of law principles.

The courts of Paris, France shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, except where mandatory applicable law provides otherwise.

## 36. General

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

A failure to enforce any provision does not constitute a waiver of that provision.

These Terms, together with any documents expressly incorporated into them, constitute the agreement between Customer and Argos regarding the Service, unless the parties have entered into a separate written agreement governing the Service. Any purchase order or other Customer terms inconsistent with these Terms have no effect unless expressly accepted in writing by Argos.

No amendment or waiver of a separately executed agreement is effective unless made in accordance with that agreement.
